Terms of Use

1. Acceptance of Terms

In these Terms, "you" and "your gym" mean the gym business for which the Service is used. The person who accepts these Terms represents that they have authority to bind that business.

By accessing or using MatAdmin ("Service"), operated by the MatAdmin team ("we," "us"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

MatAdmin provides gym and martial arts school management software, including:

• Member management
• Membership plan management
• Rank/belt tracking
• Class scheduling and attendance tracking
• Owner-led billing records and payment tracking
• Student self check-in and waiver workflows

We reserve the right to modify or discontinue any part of the Service at any time.

MatAdmin may change product features. Help articles describe current behavior and are not contractual terms.

3. Eligibility

The person using the Service must be at least 18 years old. If you are using MatAdmin on behalf of a business, you represent that you have authority to bind that entity.

4. Account Responsibilities

You agree to:

• Provide accurate information
• Maintain security of your login credentials
• Notify us immediately of unauthorized access

You are responsible for all activity under your account.

5. Payments & Subscriptions

• MatAdmin is offered as a subscription service at the pricing stated during signup, onboarding, or a written agreement
• Payments are billed in advance and are non-refundable unless required by law
• You may cancel anytime; access continues through the billing period
• We may change pricing with reasonable notice

Failure to pay may result in suspension or termination.

5A. Gym Sales to Students

Your gym is the seller of the memberships, classes and class passes it offers through MatAdmin. Online student payments through this integration are direct charges on your gym's connected Stripe account. That account is the merchant of record.

Your gym sets its prices and offer terms. Your gym is responsible for delivering what it sells and for its refunds, cancellations, disputes, chargebacks and taxes. Your gym must comply with applicable consumer law. MatAdmin's subscription terms govern your gym's purchase of MatAdmin software. They do not set the terms of your gym's sales to students.

MatAdmin provides software to show offers, process payments through Stripe and keep records. MatAdmin does not set or guarantee your gym's sale terms or provide its training services.

To the extent permitted by law, your gym must repay MatAdmin for refund, dispute, chargeback, negative-balance and related fee costs that MatAdmin incurs because of your gym's sales. MatAdmin will provide details of those costs.

Stripe processes connected-account payments under the applicable Stripe Connected Account Agreement, which includes the Stripe Services Agreement. You must complete Stripe's account setup and accept the applicable Stripe agreement to use those services.

You authorize MatAdmin to create and manage payment sessions and related records for your gym, access account data needed for these services and share required account and transaction data with Stripe. Stripe's Privacy Policy explains its data processing.

These Terms do not limit students' rights under applicable law.

6. Customer Data

You retain ownership of all data you input ("Customer Data"), including:

• Member information
• Payment records
• Contact details
• Minor/child data (if applicable)

You grant MatAdmin a limited license to store, process, and display your Customer Data solely to provide the Service.

You are responsible for:

• Obtaining consent from your members
• Complying with all applicable laws (including privacy laws and minor protection laws)

7. Sensitive Data Disclaimer

MatAdmin may store sensitive personal information. We implement reasonable safeguards, but we do not guarantee absolute security.

You agree not to store:

• Social Security numbers
• Government IDs
• Medical records (unless explicitly supported and compliant)

8. Prohibited Use

You may not:

• Use the Service for illegal purposes
• Attempt to hack, reverse engineer, or disrupt
• Upload malicious code
• Use the platform to harass or exploit others

9. Data Processing & Third Parties

We may use third-party providers (e.g., payment processors like Stripe) to operate the Service. These providers may process your data under their own terms.

10. Termination

We may suspend or terminate your account if:

• You violate these Terms
• You fail to pay
• Your use poses risk to the platform

You may terminate at any time.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available." We do not guarantee:

• No downtime
• Error-free operation
• Fitness for a particular purpose

12. Limitation of Liability

To the maximum extent allowed by law, MatAdmin shall not be liable for:

• Lost revenue
• Data loss
• Business interruption
• Indirect or consequential damages

Total liability is limited to the amount you paid in the last 12 months.

13. Indemnification

To the extent permitted by law, your gym will defend, indemnify and hold harmless MatAdmin from claims, losses and reasonable costs arising from:

• Your use of the Service
• Your violation of laws
• Your handling of customer data
• Your gym's sales to students and its offer and refund terms
• Student or consumer claims about your gym's sales or services
• Your gym's taxes, chargebacks and costs that Stripe charges MatAdmin for your gym's sales

14. Governing Law

These Terms are governed by the laws of the State of California.

15. Changes to Terms

We may update these Terms. We will announce material changes by email to the account owner and state their effective date. Continued use of the Service after the applicable effective date constitutes acceptance of the updated Terms.
